Team/Function Overview

The EMEA Private Bank Legal Team consists of approximately 25 Lawyers and Legal Specialists supporting the Private Bank’s Booking centres in the UK, Switzerland and Jersey and the market region banking teams covering EMEA. This particular role will be located in Citi’s Legal Department in Belfast. The successful candidate will be part of a small local team of six Legal Specialists providing legal support to the business in banking, investment and regulatory matters, and to the Compliance, Risk and Client Service functions.

 

Role / Position Overview

This is an exciting opportunity for a graduate to become a valued member of a very highly regarded in-house legal team. The role provides the opportunity to work with and learn from a team of Lawyers with expertise across a broad number of specialisms and jurisdictions.

 

It provides exposure to a wide variety of work, including, negotiating non-disclosure agreements, carrying out due diligence in advance of lending to corporates and individuals, working with bankers on cross-border regulatory matters and liaising with both internal and external counsel. The role would suit a graduate with an inquisitive and proactive nature. The day-to-day tasks involve in-depth reading and analysis, identification of risks and inconsistencies, discussion with colleagues both senior and junior.

Key Responsibilities:

  • The primary responsibility of the Legal Specialist is to provide legal support to the Private Bank Business and the wider legal team (in London, Jersey, Dublin and Switzerland) to ensure our clients’ needs are met and an excellent level of service is provided at all times.
  • In particular, the role will entail working on matters arising from Investment Finance, Capital Markets and general Banking with exposure to drafting, negotiation, cross border matters, document preparation and review, regulatory change, administrative support and project management.
  • Assisting in the preparation of legal opinions on capacity, authority and jurisdictional perfection requirements for both lending and derivative transactions where the Borrower/Counterparty may be incorporated/resides in England & Wales or in another jurisdictions such as British Virgin Islands or the Bahamas, for example.
  • Preparation of documentation for execution, such as, Directors Certificates, Board Resolutions and Facility Amendment Letters ensuring at all times that the documents are tailored appropriately and factually precise.
  • Reviewing and amending letters for clients to ensure content is factual, accurate and not misleading, for example, where the client requires a statement of wealth.
  • Working on maintaining and updating the Offshore Wealth Services Rules alongside the other members of the legal team. These rules are used by the Private Bank Business to determine the financial services bankers can carry out in those countries without triggering local licencing requirements. You will work with internal and external counsel to produce clear, concise and user friendly updates to current rules.
  • Working closely with Sales and Trading desks on the production of Tailored Investment Proposals (TIPS) to ensure the document accurately and clearly describes the product offering, highlights risks and potential losses to the client and is compliant with applicable regulation.
  • Providing support to senior lawyers and the business with regulatory change projects. This includes supporting with planning, data gathering, updating templates and any related repapering.
  • At all times, ensuring adherence to Citi’s regulatory policies and team processes/procedures. Escalating where requests for deviation are raised and ensuring appropriate risk and / or business approval is obtained.

Ensuring the CPB business adheres to regulatory reporting and record keeping requirements by accurately completing and uploading the appropriate forms in a timely manner as well as handling any follow up queries.

Knowledge/Experience:

 

  • Previous legal experience (such as working as a legal executive) or experience working in a large service orientated organisation is desired.

 

  • Comprehensive training will be provided.

Skills:

 

  • Good interpersonal skills and the ability to work as part of a team (including with team members that are not in the same location as you).
  • Ability to communicate effectively (written & verbal) at all organisational levels with internal business partners and external customers.
  • Ability to effectively project manage and organise own workload meeting key milestones – the workload is high volume and will require the candidate to work quickly and efficiently. 

Qualifications:

 

  • Minimum 2.1 classification law degree (or similar) is required

Competencies

  • Be proactive and show initiative when it comes to progressing matters quickly and effectively.
  • Excellent attention to detail and high levels of accuracy.
  • Able to identify the need for escalation.
  • Comfortable using Windows Suite and basic knowledge of Excel and PowerPoint desirable.
