Our Client specialises in providing Accounting, Corporate and Administrative services for Fund and Corporate structures.

They specialise in providing Corporate, Trust, Fund and Accounting Services to Clients across the Globe and currently cover 12 jurisdictions.

Relocation

This role shall require the candidate to relocate to Bermuda. Our Client shall cover the travel expenses for both the Corporate Administrator and their dependants. A lucrative relocation package shall also be offered on top of a competitive remuneration package.

The Role

The Corporate Administrator will, ultimately, be responsible for delivering high quality Corporate administrative services to a portfolio of local and international Companies. This shall include:

  • Taking the role of Company Secretary or Assistant Secretary as and when required.
  • Making changes to constitution documents as and when required (e.g. Memorandum of Association / increases and reductions of Share Capital / Company name changes).
  • Ensuring that the Company’s constitutional documents and minutes are certified.
  • Take minutes at all board meetings and ensure that same is circulated to the appropriate parties.
  • Prepare agendas, proxies, notices and board packs.
  • Ensuring that all statutory filings are completed within the relevant time-frames.
  • Ensuring that Corporate record for each Company are current.
  • Complete time recording on a daily basis for posting to the accounting records for each company.
  • Ensuring that the annual service and variance fee invoices are produced and distributed for each Company.
  • Assist with the opening of Bank accounts and ensuring that all documentation required is gathered and submitted to the Bank, as required.
  • Taking responsibility over the Register of Members, Register of Directors and Officers and ensuring that same is maintained for each Client.
  • Assisting with applications for incorporating Companies and Partnerships.

Requirements

  • You will hold an active Membership in the Institute of Chartered Secretaries and Administrators (e.g. ACIS or FCIS) OR hold a University degree in a relevant discipline.
  • You will have completed the Corporate Secretarial Practice 1 & 2.
  • You will have knowledge of the Companies Act (1981).
  • You will, ideally, have an understanding of the statutory regulations relating to the administration of companies in Bermuda.
  • You will have, ideally, gained experience working in a Company Secretarial, fund administration or similar environment.
  • You will have demonstrable experience of establishing strong and lasting relationships with Clients, 3rd parties and colleagues.
  • You must be a self-motivator who can work within limited time frames, under pressure and complete tasks to a high-quality standard.
