An International Financial Services Centre seeks a Company Secretary (ICSA Qualified) to join their Belfast based team.

MCS is excited to be working with an International Financial Services Centre to locate a Company Secretary (Fund Administration) to join their Belfast based team.

Our Client specialises in providing Accounting, Corporate and Administrative services for Fund and Corporate structures.

Our Client specialises in providing Corporate, Trust, Fund and Accounting Services to Clients across the Globe and currently cover 12 jurisdictions.

Our Client provides smart and practical solutions to their Client, be it in a single location or across multiple jurisdictions.

This role will involve providing Company Secretarial support to new, existing and prospective Funds whilst ensuring best practice delivery of corporate governance.

The Role

As Company Secretary, you will:

  • Make Stock Exchange announcements as and when required;
  • Ensure that the Funds operate within their investment guidelines;
  • Oversee corporate activities to include, conversations, amalgamations and migrations;
  • Provide support for the set-up of Corporate entities and LP’s in various jurisdictions;
  • Maintain Company Records along with share and registrar functions;
  • Ensure that all registers and records required to be held at the registered office are present and up-to-date;
  • Assist with the registration of directors, maintenance of registered office address & ensure that memorandum of articles of incorporation are accurate and up-to-date;
  • When required, make applications to place entities into Voluntary Liquidation or make an application for Voluntary strike off;
  • Ensure that the provisions of the Companies (Guernsey) Law, 2008 (“the Law”) as amended are complied with at all times and that any amendments to the Law are properly reviewed and complied with;
  • Take minutes at all board meetings with Fund and Corporate entities;
  • Prepare agendas, proxies, notices and board packs whilst liaising with relevant legal advisors;
  • Ensure statutory filings are completed within the relevant time-frames;
  • Ensure that resolutions are passed to comply with statutory requirements.

The Person

  • You will be ICSA Qualified or hold a University Degree in a relevant discipline.;
  • You will, ideally, have experience within OR have knowledge of the Investment Sector.
  • You will have the ability to work under pressure, keep clear and concise records and be proficient in Microsoft Office products.
